This Terms of Service Agreement (the "Agreement") is between Pro Repair LLC ("ClarInvoice," "we," or "us"), operator of clarinvoice.com and all related software and services (the "Platform"), and you (the "User"). By accessing or using the Platform, you agree to be bound by this Agreement.
By accessing and using the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not use the Platform. We may update these terms at any time by posting a revised version at clarinvoice.com/terms. Continued use of the Platform after any changes constitutes your acceptance.
The Platform is intended for users who are at least 18 years of age, or the age of majority in their jurisdiction. By using the Platform, you represent that you meet this requirement. The Platform is not intended for children under 13 years of age.
To use certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@clarinvoice.com of any unauthorized use of your account.
ClarInvoice offers a free tier and a Pro subscription plan at $8.99/month. By subscribing to Pro, you authorize us to charge your payment method on a recurring monthly basis until you cancel.
Automatic Renewal: Your subscription will automatically renew each month unless you cancel before the renewal date. You may cancel at any time from your account dashboard. Upon cancellation, you retain Pro access through the end of your current billing period. All fees are non-refundable. We do not offer refunds for partial billing periods or unused time..
Price Changes: We will notify you at least 14 days before any price increase takes effect.
You agree not to:
All content, design, code, trademarks, and materials on the Platform are the property of Pro Repair LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for your personal or business invoicing purposes only. Nothing in this Agreement transfers ownership of any intellectual property to you.
You retain ownership of any content you submit to the Platform (such as business names, logos, and invoice data). By submitting content, you grant ClarInvoice a limited license to store and process it solely for the purpose of providing the Platform's services to you. We will not sell or share your content with third parties except as described in our Privacy Policy.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, PRO REPAIR LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Pro Repair LLC and its affiliates from any claims, damages, costs, or expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of this Agreement, or your infringement of any third-party rights.
ClarInvoice does not provide accounting, tax, or legal advice. Users are responsible for ensuring that invoices comply with applicable laws and regulations in their jurisdiction.
We reserve the right to modify or discontinue the Platform at any time without notice. We will make reasonable efforts to notify users of significant changes.
We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates this Agreement or is harmful to other users, us, or third parties. Upon termination, your right to use the Platform ceases immediately.
This Agreement is governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Massachusetts.
